AccuSights, Inc. and AccuSights LLC
This Policy explains, in plain terms, how subscriptions to AccuSights services start, renew, end and are refunded. It applies to every subscription or recurring service bought from AccuSights, Inc. (the platform, AccuSights Assess, AccuSights Comply, CMMC Accelerator, AI Governance, Secure Office, and Empower-referred purchases) and from AccuSights LLC (AccuSights Protect and vCISO). It is incorporated into the AccuSights Terms of Service, the AccuSights Protect Services Agreement and every Order Form. If your signed Order Form or Protect Services Agreement states a different term, notice period or price, the signed document controls for that service.
AccuSights sells to businesses. We nevertheless follow the consumer-protection standards of the federal Restore Online Shoppers' Confidence Act (ROSCA), the Illinois Automatic Contract Renewal Act and the California Automatic Renewal Law for every customer, because some of our customers are sole proprietors and because we think these are the right rules.
The short version
- Subscriptions renew automatically for the same term at the then-current price (capped at a 5% increase) unless you cancel at least 30 days before the renewal date.
- You can cancel in the app in a few clicks — Settings → Billing → Cancel subscription — or by email. No phone call required.
- For annual plans we email you a renewal reminder at least 45 days before the renewal and before any price change.
- Fees are non-refundable for partial periods, except in the specific cases in Section 6.
- Free trials tell you clearly, before you enter a card, when they end and what you will be charged.
1. What you agree to when you subscribe
Before you place an order, you will see — and must accept with an unchecked checkbox or an in-site signature — the following material terms, stated on the checkout screen or Order Form and repeated in your confirmation email:
- the services and quantities you are buying (for example, "Protect — 25 users — 24x7 tier");
- the price, billing frequency (monthly or annual), and any minimums, overage or true-up charges;
- the initial term and the fact that the subscription renews automatically for successive terms of the same length;
- the renewal price (or the rule for setting it) and the 5% cap in Section 3;
- the deadline to cancel to avoid renewal (30 days before the renewal date) and how to cancel;
- for a trial, the length of the trial, that a paid subscription begins when the trial ends, and the amount and date of the first charge; and
- the version of the Terms of Service (or Protect Services Agreement) and this Policy that applies.
We record your acceptance (who, when, what version, from which screen) and send you a copy.
2. Billing and payment
- Monthly plans are billed in advance on the same day each month. Annual plans and fixed-fee packages are billed in advance at the start of each term, unless the Order Form sets milestones.
- Payment is by card on file (charged automatically on each billing date) or by invoice, net 30 from the invoice date, where your Order Form allows.
- Invoices for AccuSights LLC services (Protect, vCISO) may be issued and collected by AccuSights, Inc. as the LLC's billing and collection agent. The contracting party remains AccuSights LLC.
- Prices exclude taxes. Late amounts accrue interest at 1.5% per month (or the legal maximum if lower). If an invoice is more than 10 days past due we may suspend the service after written notice, and the term continues to run during suspension.
- Usage above your ordered quantities (extra users, endpoints, tenants, frameworks) is billed as a true-up at the then-current unit price, at the next billing date or as the Order Form states.
3. Automatic renewal
- Renewal. At the end of each term, your subscription renews for another term of the same length unless either party gives notice of non-renewal at least 30 days before the renewal date. You will not be asked to re-sign; renewal is on the same Terms of Service version you accepted, or a later version we have given you 30 days' notice of.
- Renewal price. The renewal price is the then-current list price for your plan, but we will not increase your per-unit price by more than 5% over the prior term unless your Order Form says otherwise. Any increase is stated in the renewal reminder.
- Renewal reminder. For annual and longer terms, we email the billing contact at least 45 days before the renewal date (and never more than 60 days before) stating: the renewal date, the services and quantities that will renew, the renewal price, the cancellation deadline, and a link to cancel. For monthly plans, the price and renewal date appear on every invoice.
- Price-change notice. We give at least 30 days' written notice of any price change before it takes effect, and you may cancel before the change takes effect without penalty.
- Multi-year commitments. If you signed a multi-year Order Form with a committed term, non-renewal takes effect at the end of the committed term; early termination is only for cause under the Agreement.
4. How to cancel
You can cancel at any time. Cancellation takes effect at the end of the current paid term; you keep access until then.
In the app (fastest): log in → Settings → Billing → Cancel subscription → confirm. You will see a confirmation screen and receive a confirmation email within minutes. No retention call is required, and we will not add steps that were not required to sign up.
By email: send "Cancel" with your account name and the services to cancel to [email protected] with the subject "ATTN: Billing — Cancel" from an email address associated with your account. We confirm within 2 business days.
By mail: AccuSights, Inc., Attn: Billing, 2058 N. Western Ave, Chicago, IL 60647. Mailed notices are effective when received.
For Protect and vCISO, the same in-app path applies; because Protect includes off-boarding of agents and log sources, the confirmation will include an off-boarding schedule. Cancellation of Protect does not cancel Inc. services on the same account, and vice versa; each is listed separately on the cancellation screen.
What happens after cancellation. The service stops at the end of the paid term. You have 30 days after that to export your data from the portal. We delete Customer Data beginning 60 days after termination and purge backups within 90 days after termination, unless a longer period is required by law or a BAA. Readiness reports and evidence you exported remain yours.
5. Free trials, freemium tools and conversions
- Free tools (Cyber Hygiene Test, scoping tool, free score, "Lite" assessment) never convert to a paid plan automatically and never ask for a card.
- If we offer a free trial of a paid plan, the signup screen states the trial length, whether a card is required, and — if a card is taken — the exact amount and date of the first charge. We email a reminder at least 3 days before a trial converts to a paid plan. You can cancel before that date in the app and will not be charged.
- If no card was taken during the trial, the trial simply expires; nothing is charged.
6. Refunds
General rule: fees are non-refundable. Because we provision capacity, engineers and licenses for your full term, we do not refund unused portions of a term when you cancel, downgrade, or stop using the service, and we do not refund fees for periods during which your access was suspended for non-payment or a violation of the Acceptable Use Policy.
Exceptions — when you do get money back:
| Situation | What you receive |
|---|---|
| We materially change the Terms of Service, this Policy or another incorporated policy in a way that is adverse to you during a paid term, and you terminate by written notice before the change takes effect (we give at least 30 days' notice) | Pro-rata refund of prepaid, unused fees for the remainder of the term. Signed Order Forms are never changed unilaterally during their term. |
| We terminate your subscription for our convenience or discontinue a service you have prepaid for | Pro-rata refund of prepaid, unused fees. |
| You terminate for our uncured material breach under the Agreement | Pro-rata refund of prepaid, unused fees for the affected service. |
| Limited warranty claim (services not performed in a professional and workmanlike manner, notified within 30 days) | We first re-perform the nonconforming service; if we cannot, we refund the fees paid for that nonconforming service. |
| Duplicate or erroneous charge | Full refund of the erroneous amount within 10 business days of confirmation. |
| Statutory rights | Nothing in this Policy limits refund rights that applicable law gives you and that cannot be waived. |
Things that are not refunds:
- Readiness Re-Performance Commitment (Assess and Comply). If, within 6 months after we deliver a Readiness Completion Report marking controls "Ready," your formal assessment finds a deficiency in a control we marked Ready, we will re-perform the readiness services for the affected controls at no additional charge, subject to the conditions in the Terms of Service (you implemented our recommendations, recorded no Risk Acceptances on those controls, made no material change to your environment, and notified us within 30 days with the assessor's findings). This is a re-performance commitment and the sole remedy; it is not a refund, and it does not cover assessor or auditor fees.
- Protect SLA credits. If AccuSights LLC misses a Protect service-level target, you receive service credits as set out in the Protect Service Description and SLA Schedule (5% of the monthly Protect fee per missed Severity-1 acknowledgment event, capped at 25% of that month's fee). Credits are applied to future invoices, are the sole remedy for SLA misses, are not paid in cash, and have no value after termination (Protect Services Agreement Section 8.3).
- Downgrades. Reducing users, endpoints or tiers takes effect at the next renewal; we do not refund the difference mid-term.
- Unused hours or scope under a vCISO Schedule or SOW expire at the end of the period stated in the schedule and are not refunded.
Refunds are paid to the original payment method within 10 business days of approval.
7. Chargebacks and disputes
Please contact [email protected] (subject "ATTN: Billing") before disputing a charge with your card issuer; most issues are resolved within two business days. If you file a chargeback on a charge that this Policy states is valid, we may suspend the account until the dispute is resolved, and we may charge a $25 administrative fee plus any amount the processor charges us if the chargeback is decided in our favor. Empower Partner commissions on a charged-back sale are clawed back as the Empower Partner Agreement provides.
8. Adding services
Adding a service or increasing quantities creates a new Order Form line item (or an in-app "Add Service" order) on the same Terms of Service version, co-terminous with your existing term unless the order says otherwise. AccuSights Protect always requires the AccuSights LLC Protect Services Agreement and cannot be added by an AccuSights, Inc. Order Form alone.
9. Changes to this Policy
We may update this Policy with at least 30 days' notice by email and in-app. Changes apply prospectively and never to a signed Order Form during its term. If a change is materially adverse to you, Section 6 applies. Prior versions are archived at accusights.com/legal/archive.
